Convert Partnership To LLP

By Complying with the requirement of Limited Liability Partnership Act, 2008, a partnership firm may convert into a limited liability partnership (LLP).

Eligibility for Conversion

1. Consent for conversion of the firm into the limited liability partnership shall be taken from all the partners.

2. The partners of the limited liability partnership shall comprise all the partners of the firm and no one else.

3. The firm should be registered as Partnership firm.

4. The Income-tax return shall be filed up to date.

5. No proceedings by or against the firm shall be pending in any Court 0r Tribunal or any other Authority.

6. Consent from all the creditors for conversion of the firm into limited liability partnership shall be obtained.

7. The Partnership firm has closed at least one financial year after incorporation.

Documents Required

Four passport size photograph of all the partners.

Proof of identity of Partners: Self attested copy of Pan card/Voters Identity Card/Aadhar Card Card/Passport/driving license.

Proof of residence of Partners: Self attested copy of Voters Identity Card/Aadhar Card Card/Passport/Driving license.

Proof for Registered Office of LLP:

(a) Electricity Bill/Mobile Bill/Telephone Bill/Gas Bill.
(b) In case office is on lease then lease deed/Rent Agreement along with the rent receipts and No objection certificate from owner.

Note:

(a) Minimum Two Designated Partners required, and at least one shall be resident in India;
(b) Partners and Designated Partners can be same person;

Process

Obtain DIN & DSC: Before applying for reservation of name of the LLP, the proposed designated partners must have Digital Signature Certificate. Designated Partners Identification Number (DPIN) is necessary for appointment as partner in LLP. For obtaining DSC and DPIN we need self -attested Identity Proof, Address Proof and two recent passport size colour photograph of designated partners.

Name Approval: Application for reservation of name of the proposed LLP is made to Registrar. The partners may propose six names in order of preference. The name “LLP” is used at the end of the name.

Filing of Incorporation Documents: After preparation and getting signed documents we file the above documents with the Registrar as an Application for Incorporation of Company along with the registered office address and details of partners of the LLP.

Filing of Conversion Application: Application and statement for conversion of a firm into Limited Liability Partnership (LLP) should be filed together with the Incorporation documents.

Certificate of Incorporation: After the documents are filed with Registrar, the document gets scrutinized by the registrar, and on satisfaction Certificate of Incorporation is issued, that status of the firm will be changed to “Converted to LLP”

Preparation and Filing of LLP Agreement: After getting certificate of Incorporation, limited liability partnership agreement shall be filed with the Registrar within 30 days.
